These Terms govern the use of this website and any prospective engagement with Genesis & Prime Standards LLC. Engagement-specific terms are set forth in a separately executed Engagement Letter.
Genesis & Prime Standards LLC (“G&P Standards,” “we,” “us,” or “our”) is a limited liability company organized under the laws of the State of Delaware, United States, conducting business as a professional services firm specializing in forensic vendor contract audits and continuous market intelligence for US mid-market enterprises.
These Terms & Conditions (“Terms”) apply to your access and use of the website located at gpstandards.com (the “Site”), to any communications you send us, and to any prospective engagement evaluation, save where superseded by terms in a signed Engagement Letter between G&P Standards and a client.
By accessing the Site, submitting any inquiry, or otherwise engaging with G&P Standards in connection with a prospective engagement, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, please refrain from using the Site.
No engagement, advisory relationship, or contractual obligation is created between G&P Standards and any visitor, inquirer, or prospect by virtue of accessing this Site or submitting an inquiry. A formal engagement is established only upon execution by both parties of a written Engagement Letter, which shall set forth the scope of services, fees, deliverables, timeline, confidentiality, intellectual property, limitations of liability, and other terms specific to that engagement.
In the event of any conflict between these Terms and a signed Engagement Letter, the Engagement Letter shall govern with respect to the matters expressly addressed therein.
Content published on the Site — including methodology descriptions, illustrative figures, industry statistics, and qualitative observations — is provided for general informational purposes and does not constitute financial, legal, tax, accounting, or other professional advice.
Figures shown in the “Illustrative Magnitude” estimator and elsewhere on the Site are industry estimates drawn from publicly available research and are not a representation, warranty, or guarantee of any outcome that may be achieved through an engagement with G&P Standards. Actual findings and recoveries vary based on the specific facts of each engagement.
Information you transmit to us through inquiry forms, email, or other channels prior to the execution of a Mutual Non-Disclosure Agreement (“MNDA”) is treated by G&P Standards as commercially sensitive and handled with professional discretion, but such transmission does not itself create a confidentiality obligation enforceable beyond ordinary commercial good faith.
For sensitive disclosures — including the discussion of specific vendor contracts, financial figures, or proprietary procurement information — the parties shall first execute an MNDA. G&P Standards will provide its standard MNDA upon reasonable request.
All text, graphics, methodologies, frameworks, designs, logos, trademarks, and other materials displayed on the Site are the property of Genesis & Prime Standards LLC or its licensors, and are protected under the intellectual property laws of the United States and applicable international treaties. No license to use any such material is granted by your access to the Site.
Ownership of deliverables produced under a signed Engagement Letter shall be governed by the terms of that Engagement Letter. Absent contrary terms, the client shall receive a perpetual, non-exclusive license to use deliverables for its own internal business purposes, while G&P Standards retains ownership of its underlying methodologies, frameworks, analytical tools, and aggregate, anonymized learnings.
The Site is provided on an “as is” and “as available” basis. G&P Standards makes no warranties, express or implied, regarding the Site or its content, including without limitation any warranties of accuracy, completeness, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by applicable law, G&P Standards, its officers, members, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or in connection with your use of the Site, whether based in contract, tort, statute, or otherwise.
The aggregate liability of G&P Standards in connection with the Site (separate from any engagement governed by a signed Engagement Letter) shall not exceed One Hundred United States Dollars (USD 100.00).
The Site may include links to or integrations with third-party services (including, without limitation, form-handling, email subscription, and analytics providers). G&P Standards does not control and is not responsible for the content, policies, or practices of such third parties. Your use of any third-party service is governed by the terms and policies of that third party.

G&P Standards may revise these Terms from time to time. The “Last updated” date at the top of this page indicates when these Terms were last revised. Continued use of the Site after any modification constitutes acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration administered under the Commercial Arbitration Rules of the American Arbitration Association, with the seat of arbitration in Wilmington, Delaware.
If any provision of these Terms is found by a court of competent jurisdiction to be unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with any executed Engagement Letter and MNDA, constitute the entire agreement between you and G&P Standards regarding the subject matter herein.
